The bylaws I was able to find were printed, so I scanned them and uploaded them to work from, then re-typed them using Verdana font.  The original JPEG images are at the bottom of the page, the re-typed pages are below.  These are the CURRENT bylaws, created in 2003, and adopted in 2004.  A revision to them has been accomplished, but at this time has not yet been adopted by the Society.  RLE  11/03/07

PUGET SOUND GENEALOGICAL SOCIETY

BYLAWS

 

Article I - NAME - The name of this club shall be Puget Sound Genealogical Society.

  

Article II - PURPOSE - The purpose of this society, organized as a non-profit

corporation, shall be educational as provided in Section 501 (c)(3) of the Internal

Revenue Code.  It shall be devoted to furthering genealogical research and education,

and shall collect, preserve and publish records of genealogical value.  The library and

resources of this society shall be available to any genealogical researcher or student at

no cost during the usual operating hours of the library or upon special arrangement with

the Librarian.

 

Article III - MEMBERSHIP AND DUES

Section 1.  There shall be four classes of membership

         A.  Individual: Any individual interested in genealogical research, who subscribes

              to and promotes the objectives of this Society and pays the prescribed dues,

              shall thereby become a member.

         B.  Family: Husband/wife or significant others and children under the age of 18

              residing within the same residence.

         C.  Charter: Any individual who joined PSGS after 2 May 1973 and before 2

              November 1973.

         D.  Lifetime:  Any individual who has been a member for at least one year may

              elect to become a lifetime member by a one-time payment of dues equal to

              15 times the current annual dues.

Section 2.  Annual dues are payable as of 1 January.  Any member whose dues are

delinquent after 28 February shall be dropped from the rolls and all rights and privileges

shall be suspended.

Section 3.  Dues shall be reviewed in May each year by the Executive Board.  If the 

Executive Board determines that dues must be charged for the betterment of the

Society, a recommendation is to be placed before the members attending the August

general meeting and approved by a majority vote of attending members. 

Any change in dues is to become effective the following year.

 

Article IV - OFFICERS AND VOTING 

Section 1.  The elected officers of PSGS and their duties shall be:

         A.  President

              1.  Presides at all meetings

              2.  Appoints committee chairs, with the concurrence of the Executive Board.

              3.  Serves as ex-officio member of all committees except the Nominating

                   Committee

              4.  Supervises all activities of PSGS

              5.  Performs other duties as required

         B.  1st Vice President

             1. In the absence of the President, assumes those duties. 

             2. Provides for the monthly educational segment of the general membership
                meetings.

         C. 2nd Vice President

             1. Collects all dues and provides membership cards.

             2. Maintains membership listing.

             3. Provides membership listing to the Treasurer and the Newsletter Editor.

         D. Treasurer

             1. Makes a monthly deposit.

             2. Pays all bills

             3. Issues receipts

             4. Submits monthly reports

             5. Maintains an up-to-date set of books.

             6. Presents books for the annual audit and for special audits as required.

             7. Chairs the Budget Committee and presents the proposed  annual budget

                 for consideration and adoption at the January Executive Board meeting.

           E. Recording Secretary

            1. Keeps a complete record of business conducted at all general membership

                meetings and meetings of the Executive Board.

            2. Maintains an accurate record of attendance at each meeting.

            3. Maintains all records of the Society.

         F. Corresponding Secretary

            1.  Handles all incoming correspondence, directing it to the proper elected

                 official or chairman.

            2.  Composes outgoing correspondence as directed by the President.

Section 2.  These officers shall perform the duties prescribed by these bylaws, by the 

official notebook for each position, and by the parliamentary authority adopted by the

Society.  Elected officers serve from 1 January to 31 December or until their successors are elected. No President shall serve more than two consecutive terms.  The 1st Vice President shall perform the duties of the President in his/her absence and, should the

President resign, act in his/her stead until such time as a new President is elected.

Section 3.  A quorum for the transaction of business of PSGS shall be as follows:

         A. At any regular or special Executive Board meeting, a simple majority

         B. At any regular or special membership meeting, a quorum shall consist of 35

            voting members.

Section 4.  Voting

         A. Procedure of voting (verbal or ballot) shall be at the discretion of the

             President.

         B. No individual shall hold more than one voting position at any given time.

         C. There shall be no proxy voting.

         D. The President may only cast a voice or hand vote when necessary to break a

             tie.

Section 5.  The officers shall be elected by a simple majority of all voting members

present at the October membership meeting.

Article V - MEETINGS

Section 1.  Membership meetings shall be held monthly.  The December meeting shall

be set aside for an annual gathering to honor volunteers who worked for the

betterment of the Society during the year, and to thank the outgoing Executive board

and welcome the new Executive Board.

Section 2.  Executive Board meetings shall be held at the direction of the President

and at a day, place and time designated by the president.

Section 3.  Special meetings of the membership of the PSGS may be called at any time

and for any purpose by the President, the Executive Board, or by 30 percent of the

voting members.  Written notice of such a special meeting shall be given to he

members at least 30 days in advance and must specify the business to be transacted;

only that business as stated may be discussed at the special membership meeting.

 

Article VI - EXECUTIVE BOARD

Section 1.  The Executive Board shall consist of:

         A.  The elected officers as outlined in Article IV.

         B.  Immediate Past President: Shall act in an advisory capacity to the

              current Executive Board and shall chair the Nominating and Audit committees

              as outlined in the appropriate official notebook.

         C.  Librarian: Shall provide a list of prospective acquisitions to the Executive

              Board for approval, shall be responsible for the organization and direction of

              the Society library, shall oversee the activities of the Library Volunteer

              Coordinator to insure adequate staffing of the library, and shall follow

              guidelines as set forth in the official notebook for this position.

         D.  Newsletter Editor:  Shall be responsible for building and distributing a

              quality newspaper for publication four times per year: March, June,

              September, and December, and shall follow guidelines as set forth in the

              official notebook for this position.

         E.  Chapter Chairperson:  Shall be responsible for conducting chapter

              meetings in accordance with all Society bylaws and guidelines, and shall

              follow guidelines in the official notebook for this position.

Section 2.  No officer shall be entitled to compensation for services rendered unless

expressly authorized by the Board.  Compensation to an officer shall not be

retroactively authorized.  However, and officer, committee chairman, or other member

may be reimbursed for bona fide expensesd incurred on behalf of the Society as

approved by the Board.

 

Article VII - Standing Committees and Special Committees

Section 1.  The newly elected President shall appoint Chairpersons of standing

committees and special committees before the December membership meeting.

Section 2.  Standing committees shall consist of the following:

         A.  Auditing: To examine the financial status of the Society annually between

              the December and January meetings, and at any other time at the request of

              the current President and/or Executive Board.  The committee shall be

              composed of the Immediate Past President and two members appointed by

              the Executive Board.

         B.  Publications:  To gather, edit, print, and/or distribute membership

              brochures, papers, publications, and Internet site of the Society.

         C.  Ways and Means:  To devise ways and means for increasing the revenue of

              the Society.

         D.  Phone Tree:  To notify the membership of monthly meetings, special

              meetings, and any special events which may occur.

         E.  Publicity:  To be responsible for all publicity of the Society.

         F.  Budget:  To develop the annual budget for presentation to the Executive

              Board.  This committee shall be chaired by the incumbent Treasurer and shall

              be composed of the incumbent, the incoming Treasurer, and a member

              appointed by the President.

        G.   Nominating:  To seek at least one nominee for each Society office from the

              members in good standing and present a slate of nominees at the September

              general membership meeting.  This committee shall be composed of the

              Immediate Past President and two members appointed by the

              current Executive Board.  It shall be chaired by the Immediate Past President.

Section 3.  Special committees shall be any committees the Executive Board deems

necessary for the smooth operation of the Society.  Special committee chairpersons

answer to the Executive Board and shall follow the direction of the Executive Board.

 

Article VIII - Amendments

Section 1.  The bylaws of PSGS may be amended by the following procedure:

        A.  The Executive Board shall adopt a resolution setting forth the proposed

             amendment(s) and submit the resolution for a vote of the membership.

        B.  Written or printed notice setting forth the proposed amendments shall be

             given to each member 30 days prior to the vote.

        C.  A vote of the membership shall be taken on the proposed amendment(s) and

             shall be adopted upon receiving an affirmative majority vote of those

             members in attendance.

Section 2.  Any member of PSGS may submit an amendment in writing to the

Executive Board for forwarding to the members.  The Executive Board will then

follow the guidelines in sections 1B and 1C above.

 

Article IX - Hold Harmless

        A.  The Society shall defend, save, and hold all Executive Board Members and

             committee chairmen harmless from any and all claims and liabilities of          

             whatsoever nature arising from performance of their duties or any other

             action taken in good faith on behalf of the Society.  Such indemnity shall not

             extend to any action taken by a Board member or chairmen with actual

             knowledge that such action was beyond his/her authority or powers, or to

             any action which constitutes or is knowingly in aid of an actual fraud or

             crime.

        B.  The Executive Board members are authorized to obtain and maintain

             appropriate insurance against the liability of the Society and/or officers

             arising from any claim indemnified by this paragraph, but are not required to

             do so..

 

Article X - Dissolution - Upon the dissoulution of the Society, the Executive Board shall, after paying or making provisions for the payment of all liabilities of the Society, offer the assets of the Society to any genealogical Society or historical/heritage organization having objectives substantially similar to those of the organization under Section 501(c)(3) of the Internal Revenue Code.

 

Article XI - Parliamentary Authority - The Puget Sound Genealogical Society shall

be conducted in accordance with the parliamentary procedures set forth in the most
